1. About Kelmivo Pro

Kelmivo Pro is Windows desktop software designed as a local-first IT operations workspace for small businesses and independent IT professionals. These Terms govern your use of Kelmivo Pro and the software license supplied under the Kelmivo brand.

2. Purchase and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides payment-related customer service and handles returns and refunds under its applicable buyer terms and policies.

The price, taxes, currency and payment methods presented at checkout are controlled by Paddle for the relevant transaction. Kelmivo does not receive or store your full payment card details.

3. License grant

Unless a different offer is stated at checkout, Kelmivo Pro Professional is licensed as a one-time, perpetual license for the Kelmivo Pro 1.x product line on one Windows PC / installation.

The license is non-exclusive, non-transferable except where Kelmivo expressly permits a device transfer or reactivation, and is for use by the purchasing customer or organization. Ownership of the software and intellectual property is not transferred.

4. Activation and installation

Each installation generates an Installation ID. A signed license may be issued for that Installation ID and validated locally by Kelmivo Pro. Reinstallation or replacement of a device may require reactivation. You should keep a current backup of your Kelmivo workspace before reinstalling Windows or replacing hardware.

5. Permitted and prohibited use

You may install and use the software within the device limit included with your purchase. You may not resell, sublicense, redistribute, publish license material for third-party use, bypass license validation, tamper with licensing controls, or represent Kelmivo Pro as your own product, except where applicable law expressly permits an activity that cannot lawfully be restricted.

6. Local data and backups

Kelmivo Pro is local-first. Operational workspace data is stored on the Windows PC. You are responsible for device security, access control and backups of the data you place in the application. Kelmivo is not a cloud backup service and does not guarantee recovery of locally stored data after device loss, corruption or deletion.

7. Updates and future versions

Your perpetual 1.x license remains valid for the 1.x product line. Maintenance releases or updates may be made available at Kelmivo's discretion. A future major version, such as Kelmivo Pro 2.x, may be offered separately as an optional paid upgrade.

8. Support

Product support is available through support@kelmivopro.com. Support does not include administration of your third-party systems, recovery of data that was not backed up, or guaranteed compatibility with every third-party product or future Windows release.

9. Refunds and consumer rights

Refunds are handled through Paddle in accordance with our Refund Policy, Paddle's applicable buyer policies and mandatory consumer protection law. Nothing in these Terms limits rights that cannot lawfully be excluded or restricted.

10. Warranty and liability

Kelmivo Pro is provided with the functionality described on the product website and at checkout. To the maximum extent permitted by applicable law, the software is provided without additional implied warranties. Kelmivo is not responsible for indirect or consequential losses, lost profits, or loss of locally stored data caused by a failure to maintain appropriate backups. These limitations do not apply where liability cannot legally be limited.

11. Termination

Your license rights may be terminated if you materially breach these Terms, including unauthorized redistribution or deliberate circumvention of licensing controls. Provisions relating to intellectual property, liability and accrued rights survive termination where appropriate.

12. Changes and applicable law

We may update these Terms for future purchases or future versions of the software. The version presented or linked at the time of purchase applies to that purchase, subject to mandatory law. Any governing-law or dispute rule is subject to consumer protections that apply in the buyer's jurisdiction.
